1. Acceptance

These Terms govern your use of traderstoa.com and any studies, indicators, guides, or other digital products ("Products") sold by TraderStoa LLC ("we," "us"). By using the site or buying a Product, you agree to these Terms and to our Trading Risk Disclaimer, which is part of these Terms. If you do not agree, do not use the site or Products.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to purchase Products.

3. Products

Products are delivered digitally, typically as thinkorswim study code, shared links, and PDF guides. You need your own thinkorswim account and compatible software to use them. We do not provide trading accounts, market data, or brokerage services.

4. License

When you buy a Product, we grant you a personal, non-exclusive, non-transferable, revocable license to use it for your own trading and research. You are buying a license to use the Product, not ownership of it or its code.

5. Restrictions

You may not:

Share, publish, resell, sublicense, or give away any Product, its code, share links, or guides, in whole or in part
Post Product code in forums, chat groups, Discord servers, social media, or code repositories
Remove or alter copyright notices, headers, or credits in the code
Use any Product, or code derived from it, to build a competing product or service
Use one purchase on behalf of multiple people or organizations

We may revoke your license and refuse future sales if you breach these restrictions, and we may pursue other remedies available under law.

6. Pricing and payment

Prices are listed in U.S. dollars and may change at any time; changes do not affect orders already placed. Payments are processed by our e-commerce platform and its payment processors. You are responsible for any applicable taxes.

7. All sales final — no refunds

Because Products are digital and can be copied once delivered, all sales are final and non-refundable, including for change of mind, unused Products, or dissatisfaction with trading results. If a Product does not load in a current version of thinkorswim, contact support@traderstoa.com with your order number and we will work with you to fix it or provide a corrected version. If you were charged more than once for the same order because of a billing error, we will correct the duplicate charge.

Filing a chargeback or payment dispute for a Product that was delivered is a breach of these Terms, and we may revoke your license and refuse future sales.

8. Updates and support

We may update, improve, or discontinue Products at our discretion. Updates, if any, are provided as we choose; we have no obligation to provide them. Support is offered by email on a reasonable-effort basis. Changes to thinkorswim or its data may affect how Products behave, and we cannot guarantee ongoing compatibility.

9. Intellectual property

All Products, code, guides, text, graphics, logos, and site content are owned by TraderStoa LLC and protected by copyright and other laws. "TraderStoa" and our logos are our trademarks. Nothing in these Terms transfers ownership to you.

10. Disclaimer of warranties

The site and Products are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that Products are error-free, will meet your requirements, or will produce any trading result.

11. Limitation of liability

To the fullest extent permitted by law, TraderStoa LLC and its owners, members, and contractors are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any trading losses, lost profits, or lost data, arising from your use of the site or Products. Our total liability for any claim is limited to the amount you paid us for the Product in question during the 12 months before the claim.

12. Indemnification

You agree to indemnify and hold harmless TraderStoa LLC and its owners from any claims, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Products, your trading decisions, or your breach of these Terms.

13. Governing law

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to their jurisdiction.

14. Changes to these Terms

We may update these Terms by posting a new version on the site with a new effective date. Continued use of the site or Products after a change means you accept the updated Terms.
